Terms of Service

1. Definitions

For purposes of these Terms:

• "Creator" means an individual who creates and manages a hoo.be page.
• "Agency" means an entity managing one or more Creator accounts.
• "Agency Admin" means an authorized representative of an Agency.
• "User" means any individual or entity using the Service.
• "Page" means a hoo.be profile or link page.
• "Content" means any text, links, media, images, videos, offers, or other materials displayed on a Page.
• "Tips" means voluntary payments sent by fans to Creators through the Service.
• "Subscription" means a recurring paid plan (if applicable).
• "Third-Party Platform" includes Instagram, TikTok, YouTube, Meta, Stripe, Tremendous, or any external service integrated with hoo.be.

2. Eligibility

You must be at least 18 years old to use the Service. If you are under 18, you may only use the Service with verified parental or legal guardian consent.

By using the Service, you represent that:

• You have legal capacity to enter into this agreement.
• You will comply with all applicable laws.
• If you are an Agency, you have authority to manage the Creators in your dashboard.

3. Accounts

You must create an account to use the Service.

You agree to:

• Provide accurate information
• Maintain the confidentiality of login credentials
• Notify us immediately of unauthorized access

You are responsible for all activity under your account.

Agencies are solely responsible for verifying that they have authorization to manage each Creator account in their dashboard. hoo.be is not responsible for disputes between Agencies and Creators.

We reserve the right to suspend or terminate accounts at our sole discretion.

4. Subscriptions & Billing

Certain features may require a paid Subscription.

4.1 Plans

Plans may include Free and Pro tiers at pricing of:

• Free Plan: $0
• Pro Plan: $8 per month OR $48 per year
• Premium Plan: $29 per month OR $192 per year

Pricing is subject to change with notice.

4.2 Auto-Renewal

Subscriptions automatically renew unless canceled prior to renewal.

4.3 Upgrades & Downgrades

Upgrades may be prorated. Downgrades take effect at the end of the billing cycle.

4.4 Refunds

Fees are non-refundable except as required by law or at our sole discretion.

4.5 Taxes

Users are responsible for all applicable taxes.

5. Tips & Creator Payouts

5.1 Payment Processing

All payment processing is handled by Stripe. By using payout features, you agree to Stripe's terms.

5.2 Tip Holding Period

Tips are held for 30 days before payout eligibility for fraud prevention.

5.3 Payout Responsibility

Creators and Agencies are solely responsible for:

• Creating and maintaining Stripe accounts
• Providing accurate tax information
• Managing payout distribution

hoo.be does not control how Agencies distribute funds internally.

5.4 Fees

Transaction fees range from 0%–20% depending on plan and transaction type, plus Stripe processing fees.

We may update fees with reasonable notice.

5.5 Fraud & Chargebacks

We may delay, withhold, or reverse payouts in cases of suspected fraud, chargebacks, or policy violations.

5.6 Taxes

Creators are solely responsible for reporting and paying taxes on Tips or earnings.

6. User Content

You retain ownership of your Content.

By posting Content, you grant us a worldwide, non-exclusive, royalty-free license to:

• Host
• Display
• Reproduce
• Distribute
• Promote
• Modify for formatting or functionality

This license continues even if you stop using the Service, solely for operational purposes.

You represent that:

• You own or have rights to your Content
• It does not violate any laws
• It does not infringe third-party rights

We may remove Content at our discretion.

7. Acceptable Use

You may not:

• Violate laws
• Engage in fraud or deception
• Upload illegal or sexually explicit content
• Promote hate speech or violence
• Attempt to bypass fees
• Scrape or crawl the platform
• Reverse engineer the Service
• Distribute malware
• Artificially inflate engagement
• Use automated bots to manipulate activity

We reserve the right to investigate and take action.

8. Third-Party Platforms & Algorithmic Treatment

The Service may be used in connection with Third-Party Platforms.

We do not control how Third-Party Platforms:

• Display links
• Rank content
• Limit reach
• Restrict accounts
• Apply algorithmic decisions

We make no guarantees regarding visibility, reach, performance, or monetization outcomes on any external platform.

hoo.be is not liable for actions taken by Third-Party Platforms, including reduced visibility, algorithmic suppression, account restrictions, or removal.

9. Intellectual Property

All hoo.be software, branding, and materials are owned by FNL.

You are granted a limited, non-exclusive, revocable license to use the Service.

You may not:

• Copy
• Modify
• Reverse engineer
• Resell
• License access

10. Data & Analytics

We may collect and analyze usage data to:

• Improve the Service
• Develop features
• Create aggregated insights
• Conduct analytics

We may share anonymized and aggregated data.

Our data practices are governed by our Privacy Policy.

11. Feedback

If you provide feedback, suggestions, or ideas, we may use them without compensation.

12. Beta Features

We may release beta or experimental features.

Beta features:

• May change or be discontinued
• Are provided "as is"
• May contain bugs

13. Termination

We may suspend or terminate your account at any time.

Upon termination:

• Access ends immediately
• Subscription fees are not refunded
• Pending payouts may be held during investigation

14. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE."

We disclaim all warranties including:

• Merchantability
• Fitness for a particular purpose
• Non-infringement
• Uninterrupted access

15. Limitation of Liability

To the maximum extent permitted by law:

FNL shall not be liable for indirect, incidental, consequential, special, or punitive damages.

Our total liability shall not exceed the greater of:

• Amount paid by you in the previous 12 months, or
• $100

16. Indemnification

You agree to indemnify and hold harmless FNL from claims arising from:

• Your Content
• Your use of the Service
• Your violation of these Terms
• Disputes between Agencies and Creators
• Payment disputes

17. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including outages, infrastructure failures, government action, or third-party service interruptions.

18. Dispute Resolution

18.1 Governing Law

These Terms are governed by the laws of the State of Delaware.

18.2 Arbitration

Disputes shall be resolved by binding arbitration under the American Arbitration Association in Delaware.

18.3 Class Action Waiver

You waive participation in class actions.

18.4 Time Limitation

Claims must be brought within one (1) year.

19. Changes to Terms

We may update these Terms at any time.

Continued use constitutes acceptance.
